Terms of Service

1. Who We Are and What These Terms Cover

These Terms of Service ("Terms") are an agreement between you and ThreeU Solutions and Business LLC, registered with the Qatar Financial Centre (QFC), Registration Number 04695 ("ThreeU", "we", "our", "us"). They govern your access to and use of the ThreeU platform — including the web platform, ERP, POS, storefronts, Marketplace, Driver application, AI Platform, Developer Platform, APIs, and mobile applications (together, the "Services").

By creating an account or using the Services, you agree to these Terms and to the policies they incorporate: our Privacy Policy and Acceptable Use Policy. If you use the Services on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.

If you do not agree to these Terms, do not use the Services.

2. Eligibility

To use the Services you must be at least 18 years old and capable of entering a binding contract. Merchant accounts must represent a genuine business and provide accurate registration details where requested. We may decline, suspend, or condition access where required by law, sanctions, or the integrity of the platform.

3. Accounts

You are responsible for your account: keep your credentials confidential, use accurate account information, and tell us promptly at [email protected] if you suspect unauthorized access. Actions taken through your account are treated as yours unless and until you notify us of a compromise. We may require additional verification steps (such as multi-factor authentication) for sensitive operations.

4. Organizations and Workspace Ownership

Merchant workspaces (organizations, brands, and their data) belong to the business that created them, not to any individual staff member. The workspace owner controls roles, permissions, and access for team members, and may add or remove them at any time. If ownership of a workspace is disputed, we may rely on the registered business details and billing records to determine the owner, and may freeze the workspace while a dispute is resolved.

Your business data remains yours. You grant ThreeU a limited, non-exclusive license to host, process, transmit, and display your content and data solely as needed to provide, maintain, secure, support, and improve the Services. We claim no ownership of it.

5. Subscriptions

Access to most Services is by subscription. The features, limits, and price of each plan are shown at the time of purchase. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.

We may change plan pricing or features prospectively. Material price changes will be notified in advance and apply from your next renewal — never retroactively.

6. Billing

You agree to pay the fees for your selected plan and any usage-based or transaction fees shown to you. Payments are processed by licensed third-party payment providers; ThreeU does not store full card numbers. Fees are stated exclusive of taxes unless indicated otherwise; you are responsible for applicable taxes. Overdue amounts may lead to suspension of paid features after notice. Except where required by law or stated otherwise in writing, fees are non-refundable.

7. Marketplace

The ThreeU Marketplace connects buyers with merchants. Unless expressly stated, ThreeU is a platform, not the seller: the merchant is responsible for its products, listings, pricing, fulfilment, and legal compliance, and the sales contract is between buyer and merchant. We may facilitate payments, delivery, and dispute processes, and may remove listings or merchants that violate our policies. Merchants must honour the orders they accept and describe their products accurately.

8. Plugins and Integrations

The Marketplace and Developer Platform offer plugins, themes, and integrations, some built by ThreeU and some by third-party developers. Third-party items are reviewed before distribution, but they remain the responsibility of their developers. Before installing, you will be shown the access scopes an item requests; installing it authorizes those scopes. You may uninstall at any time. Connecting a third-party service (payment gateway, sales channel, messaging provider) is subject to that service's own terms, and you are responsible for your relationship with it.

9. AI Services

AI features are provided to assist, not replace, your judgment. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose — review it before relying on it, especially for financial, legal, or safety-relevant decisions. You are responsible for how you use AI output, including compliance with applicable law and third-party rights. Our handling of data in AI features is described in the Privacy Policy and the AI & Data Usage document. We do not use your customer business data to train AI models without your explicit agreement.

10. Intellectual Property

The Services — including software, design, trademarks, and documentation — are owned by ThreeU or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the Services except as permitted by law or as expressly allowed (for example, through the Developer Platform under its terms).

You retain ownership of the content and data you bring to the platform. Feedback you choose to give us may be used to improve the Services without obligation to you.

11. Acceptable Use

Use of the Services is subject to our Acceptable Use Policy, which is part of these Terms. In short: use the Services lawfully, don't harm the platform or its users, and don't sell or do anything through ThreeU that you couldn't lawfully sell or do offline.

12. Availability

We work to keep the Services available and performant, and we maintain monitoring, backups, and incident response processes. However, the Services are provided over networks and infrastructure that can fail, and we may need to perform maintenance. We do not guarantee uninterrupted availability. Where a written service level agreement applies to your plan, that agreement governs availability commitments.

13. Suspension

We may suspend some or all of your access to the Services, with notice where practicable, if: (a) you materially breach these Terms or the Acceptable Use Policy; (b) your use creates security, legal, or operational risk to the platform or other users; (c) payment is overdue after notice; or (d) suspension is required by law. We will limit the scope and duration of any suspension to what is reasonably necessary and restore access when the cause is resolved.

14. Termination

You may stop using the Services and close your account at any time. We may terminate your access on notice if you materially breach these Terms and do not cure the breach within a reasonable period after being notified, or immediately where the breach is serious (such as fraud or unlawful activity), or where we are required to by law. We may also discontinue a Service with reasonable advance notice.

On termination, your right to use the Services ends. We will provide a reasonable window to export your business data, as described in the Privacy Policy, except where legal requirements prevent it. Sections that by their nature should survive (including ownership, disclaimers, liability limits, and governing law) survive termination.

15. Disclaimers

Except as expressly stated in these Terms or required by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ThreeU does not warrant that the Services will be error-free or uninterrupted, or that AI output, analytics, or reports will be accurate or suitable for any particular decision. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

16. Limitation of Liability

To the maximum extent permitted by law:

These limits do not apply to liability that cannot be limited under applicable law, including liability arising from fraud or wilful misconduct.

17. Indemnification

You will defend and indemnify ThreeU against third-party claims, and resulting damages and reasonable costs, to the extent arising from: (a) your content or business data; (b) your products, services, or dealings with your own customers; (c) your breach of these Terms or the Acceptable Use Policy; or (d) your violation of law or third-party rights. We will notify you promptly of any such claim and reasonably cooperate, and you may control the defence with counsel of your choice, provided any settlement releasing ThreeU requires our consent.

18. Governing Law and Disputes

These Terms are governed by the laws and regulations applicable in the Qatar Financial Centre, and, where QFC law is silent, the laws of the State of Qatar. Disputes arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the jurisdiction of the QFC Civil and Commercial Court, unless a separate written agreement between you and ThreeU provides otherwise. Before starting formal proceedings, both parties agree to attempt in good faith to resolve the dispute by contacting the other party first.

19. Changes to These Terms

We may update these Terms as the platform evolves. Minor updates — corrections, clarifications, contact changes — may take effect immediately upon posting. Material changes affecting your rights, obligations, pricing, dispute resolution, or data processing will be notified in advance through the Services or by email and, where required by law, will require your acceptance. Changes do not apply retroactively in a way that unfairly removes rights or alters obligations that have already arisen. Each version of these Terms displays its version number, effective date, and last-updated date, and previous versions are available on request.

20. General

These Terms, together with the policies they incorporate and any written agreements between you and ThreeU, are the entire agreement regarding the Services. If a provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. Notices to you may be given through the Services or to your account email; notices to us go to [email protected]. These Terms are drafted in English; translations are provided for convenience, and the English version prevails to the extent permitted by law.
